1. Acceptance of Terms

By accessing or using Orion AI ("the Service"), you agree to be bound by these Terms of Service ("Terms") and any referenced policies. If you do not agree to these Terms, do not use the Service. We may amend these Terms at any time; your continued use after changes are posted means you accept the new Terms.

2. Account Eligibility and Registration

You must be at least 13 years old to use Orion AI. Individuals under 18 (or the age of majority in their jurisdiction) should use the Service only with the involvement and consent of a parent or guardian. To comply with applicable children's privacy laws, including the U.S. Children's Online Privacy Protection Act (COPPA), we do not knowingly collect personal information from children under 13. Any account found to be held by a user under the required age will be terminated. You agree to provide accurate, complete information when creating an account, keep your credentials secure, and promptly update any changed information.

3. Subscription and Billing

Orion AI offers both free and subscription-based access. If you purchase a subscription, you agree to provide accurate payment information and authorize recurring charges for renewals. Subscription fees and billing cycles are as described at signup. We reserve the right to change prices. All payments are non‑refundable unless otherwise required by law or stated in our refund policy. If payment fails, we may suspend or terminate your access until payment is received. You can cancel your subscription at any time; cancellation will take effect at the end of the then-current billing period. After cancellation, any unused paid time or credits will be forfeited unless otherwise stated in a refund policy.

4. Acceptable Use Policy (AUP)

Orion AI is intended for lawful, respectful use. All users must comply with this Acceptable Use Policy. The following activities and content are prohibited:

4.1 Unlawful Activities

You may not use Orion AI to engage in any illegal activity, including but not limited to crimes, terrorism, drug trafficking, fraud, hacking, or any act that violates local, national or international law. For example, you may not use the Service to facilitate money laundering or to plan any criminal or tortious act.

4.2 Hate Speech, Bullying, and Extremism

You may not generate, upload, or request content that is abusive or promotes hatred, violence, or discrimination against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristic. Content that encourages or glorifies violent extremism, terrorism, or illegal armed conflict is forbidden. Personal attacks, threats, intimidation, or insults targeting individuals or groups are not allowed.

4.3 Harassment, Impersonation, and Privacy Violations

Harassing language or content that demeans, harasses, or bullies individuals is prohibited. You may not use Orion AI to stalk, threaten, defame, or harm others. Impersonating any person or entity, or claiming false credentials (for example, falsely representing expertise, achievements, or identity), is strictly forbidden. You may not upload or generate content that reveals another person's sensitive personal information (such as identification documents or private communications) without their consent, nor create non-consensual intimate or exploitative content (e.g., sexual content involving minors or without consent).

4.4 Misinformation, Spam, and Fraud

Orion AI must not be used to create or distribute fraudulent or deceptive content. This includes schemes involving spam, phishing, scams, or identity theft. You should not use the Service to knowingly spread false information intended to mislead or harm others. Any content that encourages the planning or execution of deceptive or fraudulent schemes is prohibited. Users are responsible for verifying the accuracy of Orion AI's outputs – the Service may produce incomplete or incorrect information, and you should not rely on it as your sole source of truth.

4.5 Content Moderation and Enforcement

Orion AI reserves the right to monitor, review, and moderate any content generated or uploaded through the Service. If we determine that any activity or content violates these Terms or the spirit of the policy, we may remove or block it, and we may suspend or terminate user access. This includes conduct that may not be specifically listed but is judged abusive, harmful, or disruptive. Repeated or severe violations will result in permanent termination. Users are expected to use good judgment and behave responsibly.

4.6 Reporting Violations

You should report any suspected violations of this AUP (such as misuse of the Service) to Orion AI support immediately (e.g., support@orionai.chat). We will review reports and take appropriate actions, which may include content removal, account suspension, or termination. We may also involve law enforcement when required.

4.7 Legal Compliance

You are responsible for complying with all applicable laws when using Orion AI. You may not use the Service in violation of any trade sanctions, export control laws, or embargoes. For example, the Service may not be used in any U.S. embargoed country or by any sanctioned entity. Users must also adhere to data protection and privacy laws. For instance, if you input any personal data of others, you must have their consent and comply with laws like the EU General Data Protection Regulation (GDPR). If you are in the European Union or another jurisdiction with data privacy laws, you may have rights such as accessing or deleting your data; see our Privacy Policy for details. By using Orion AI, you represent that your use of the Service and the content you submit will not violate any law (including data privacy, intellectual property, etc.) or the rights of third parties.

5. User Content and License

5.1 User Inputs (Your Content)

You retain ownership of the content you submit to Orion AI (such as text prompts, uploaded files, or chat logs). You alone are responsible for your inputs. You affirm that you have all necessary rights, licenses, and permissions to use and submit that content. You agree not to include any content you do not own or have permission to use (e.g., someone else's copyrighted text or private personal data). In particular, do not submit sensitive personal information (e.g., personal data of others, protected health information, financial data) or confidential business data. Orion AI does not guarantee the confidentiality of your inputs, so you should treat this as a public platform.

5.2 Service Outputs (Generated Content)

Any content generated by Orion AI in response to your inputs (the "Output") is provided to you under these Terms. You do not obtain any copyright or IP ownership in the Output from Orion AI; however, Orion AI hereby grants you a non-exclusive license to use and reproduce the Output for your personal or business use. Unless otherwise prohibited by law or these Terms, you may use the Output (including commercially) for any lawful purpose.

5.3 License to Orion AI

By submitting your content to Orion AI, you grant Orion AI (and its affiliates) a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, transmit, and display your inputs as necessary to operate, improve, and develop the Service.

5.4 Responsible Use of Content

You agree not to use Orion AI to develop products or services that compete with Orion AI, or to replicate Orion AI's functionality.

5.5 Redistribution of Outputs

You may share and distribute Orion AI outputs, but you must not present them as endorsed by or originating from Orion AI.

6. Intellectual Property Rights

Orion AI and its licensors own all rights in the Service and content provided by Orion AI. You are granted a limited license to use the Service as intended by these Terms.

8. Privacy Policy

10. Disclaimer of Warranties

The Service is provided "as is" and "as available", without any warranty of any kind.

11. Limitation of Liability

To the maximum extent permitted by law, neither Orion AI nor its officers, employees, agents, partners or suppliers will be liable for any indirect, incidental, special, consequential or exemplary damages.

12. Indemnification

You agree to defend, indemnify and hold harmless Orion AI and its officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses arising out of your violation of these Terms or content you submit.

13. Termination and Suspension

Orion AI may suspend or terminate your access at any time if you violate these Terms.

14. Changes to Terms

Orion AI may update these Terms from time to time.

15. Governing Law and Dispute Resolution

These Terms and your use of Orion AI are governed by the laws of Delaware, USA. Arbitration will take place in Newcastle County, Delaware, United States.

16. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Orion AI.
  • Severability: If any part of these Terms is held invalid or unenforceable, the rest will remain in effect.
  • No Waiver: Our failure to enforce any right will not be considered a waiver of such right.
  • Assignment: You may not transfer or assign your rights or obligations without written consent.

Refund Policy

Effective Date: March 3rd, 2026

1. General Terms and Acknowledgement

By purchasing a subscription or service (hereinafter referred to as "Product"), you acknowledge and agree that your purchase is final and that you are accessing a DIGITAL SERVICE with immediate availability. Due to the nature of digital content, refunds are not available once access to the Product has commenced, unless expressly stated otherwise in these Terms.

This Refund Policy (the "Policy") applies to all Products purchased via the website https://orionai.chat/ (the "Website"), mobile applications (iOS, Android), or through any third-party platforms. By purchasing, you agree to be bound by this Policy.

2. Only Applicable for EU, UK, or Turkey Customers

  • Eligibility for Refund: Customers located within the European Union (EU), United Kingdom (UK), or Turkey are eligible to request a refund if they cancel their subscription within 14 days of purchase. This applies to all monthly, quarterly, and annual subscriptions.
  • Conditions: You must have used up to 5/7 or fewer messages/interactions based on the subscription plan, or consumed 300 or fewer credits for image generation, or used 8 or fewer queries for AI Docs (whichever applies).
  • Procedure: To request a refund, the customer must specify that they are applying for a refund from the EU, UK, or Turkey in their request.
  • Non-Refundable Circumstances are applicable (see Section 4).

3. Refund Eligibility

(a) Monthly/Quarterly Subscriptions

  • Full Refund Window: You may request a full refund within 12 hours of the monthly/quarterly subscription purchase date.
  • Usage limit: You must have used 5 or fewer messages/interactions, consumed 200 or fewer credits for image generation, or used 6 or fewer queries for AI Docs.

(b) Annual Subscriptions

  • Full Refund Window: Annual subscriptions are eligible for a full refund if cancelled within 24 hours of purchase, assuming minimal usage.
  • Usage limit: You must have used 7 or fewer messages/interactions, consumed 300 or fewer credits for image generation, or used 8 or fewer queries for AI Docs.

(c) Additional Refund Scenarios

  • Duplicate or Erroneous Charges: Verified duplicate charges or unauthorized transactions will be refunded following a review and confirmation by Orion AI.
  • For subscription updates, users are eligible for a 50% refund if they contact support within 12 hours of the renewal charge and request cancellation with up to 5/7 or fewer messages/interactions based on the subscription plan.

(d) Service Failure and Outage Remedies

In the event of a material failure of Orion AI's Services, preventing the customer from using the paid functionality for a substantial period (12 hours), and where Orion AI cannot reasonably resolve the failure, Orion AI may provide the following remedies at its sole discretion:

  • A discount or promotional code for the following month's subscription, reviewed case by case.
  • The type and extent of the remedy provided will be determined at the sole discretion of Orion AI.

Note: Non-refundable circumstances mentioned in Section 4 are applicable along with refund eligibility.

4. Non-Refundable Circumstances

Refunds shall not be provided under the following conditions:

  • Dissatisfaction with text output, style, creative output, aesthetic choices, or subjective preferences once Services have been delivered.
  • User error, including incorrect prompts, improper configuration, or misunderstanding of platform features.
  • Consumption beyond the allowed limits (5 messages for monthly/quarterly, 7 messages for annual, or corresponding credit/query limits).
  • Abuse of promotional offers, free trials, or repeated refund requests deemed excessive, unreasonable, or fraudulent.
  • Accidental or mistaken transactions initiated by the customer.
  • Refunds shall not be granted due to changes in the appearance, theme, or other non-functional modifications to the platform.

5. Third-Party Platform Purchases

Refunds for purchases processed through third-party platforms (e.g., Apple App Store, Google Play) are subject to the refund policies of those platforms. Orion AI cannot directly issue refunds for these purchases. Customers must follow the applicable platform's refund process. Orion AI will cooperate and provide reasonable assistance where applicable.

6. Secondary Refund Requests

Orion AI cannot process secondary refund requests after a first refund has been granted. Refund requests will be evaluated only once per transaction.

7. Chargebacks and Disputes

Resolution Before Chargeback: Customers are strongly encouraged to contact Orion AI Support to resolve issues before initiating chargebacks with payment processors.

8. Processing, Timing, and Deductions

  • Refund Method: Approved refunds will be issued to the original payment method used, subject to the rules of the payment processor or card issuer.
  • Processing Time: Refunds are generally processed within 5–10 business days following approval; actual time for funds to appear depends on bank/payment processor.
  • Deduction of Fees: Orion AI reserves the right to deduct a reasonable administrative fee from the refunded amount. The deduction will be disclosed at the time of refund approval.

9. How to Request a Refund

  • Contact Support: Email Orion AI Support at support@orionai.chat.
  • Provide Transaction Details: Include Invoice number, purchase date, and reason for the refund request. Supporting documentation, such as receipts or screenshots, helps expedite the process.

10. Governing Law and Mandatory Consumer Rights

This Policy is subject to applicable consumer protection laws in the customer's jurisdiction. If any statutory rights under local laws are more favorable than this Policy, such rights shall prevail.

  • Authentication Data: If you log in using third-party services (e.g., Google or Apple), we may collect the account name or identifier supplied by that service.
  • Device and Usage Data: Technical information about your device and your use of the Service (IP address, device type, OS, browser, session length, crash reports) is automatically collected via cookies, logs, and analytics tools.

  • Payment Data: Payments are processed via Paddle, our secure payment processor. Orion AI does not store full credit card details or CVVs. Paddle provides anonymized or tokenized transaction information for subscription and billing purposes.
  • Communications Data: Information you provide when contacting us (support inquiries, emails, attachments) is used to respond and provide customer support.
  • Analytics and Marketing Data: Aggregated usage statistics, clickstreams, and survey responses are collected to improve the Service. Marketing data is collected only with consent.

Payments and Paddle

Orion AI uses Paddle as the exclusive payment processor. All payments are handled securely through Paddle. Orion AI does not store raw payment card data; only tokenized transaction information is retained for subscription management. For more details, refer to Paddle's Privacy Policy.

Your Rights

Depending on your jurisdiction, you may have rights including:

  • Access – Request confirmation and copies of your data.
  • Erasure – Request deletion of your personal data.
  • Portability – Request a copy in a structured, machine-readable format.
  • Restriction – Request processing limitations under certain conditions.
  • Objection – Object to marketing or profiling activities.
  • Withdraw Consent – Withdraw consent for processing that depends on it.

Security

  • Account Data: Retained while the account is active; deleted within 30 days of termination except as required by law.
  • Payment Data: Transaction records retained for compliance; full card details are never stored.
  • Logs and Security Data: Retained for months to a few years for integrity and fraud prevention.
  • Communications: Kept as long as needed to resolve inquiries or legal matters.
  • Analytics Data: Aggregated/anonymized analytics may be kept indefinitely.

Children's Privacy
